Senior Counsel (M&A)

SENIOR COUNSEL - PRIVATE EQUITY (M&A)
A leading energy and infrastructure investment platform is seeking a Senior Counsel to join its Private Equity legal team, supporting the execution of complex M&A transactions and strategic investments across a diversified portfolio of power generation, energy transition, and infrastructure assets.
This individual will play a key role partnering with investment professionals to deliver high-value transactions across both traditional and emerging energy sectors. You will take ownership of the legal execution of acquisitions, divestitures, joint ventures, and structured investments, working across the full transaction lifecycle from origination through to completion.
The position will work closely with internal stakeholders across investment, finance, and asset management teams, providing commercially focused legal advice on deal structuring, negotiation strategy, and risk allocation. You will also be responsible for managing external counsel, coordinating due diligence processes, and ensuring transactions are executed efficiently in line with business objectives.
This is a highly visible role within a lean, fast-paced environment where legal professionals are expected to operate as true business partners. The successful candidate will bring strong technical M&A expertise combined with the ability to engage directly with senior stakeholders and contribute to broader strategic decision-making.
Key Responsibilities:
- Lead legal execution of M&A transactions, including acquisitions, disposals, and joint ventures
- Advise on transaction structuring, risk allocation, and negotiation of key documentation
- Manage due diligence processes and coordinate with external advisors
- Partner closely with investment teams throughout deal lifecycle
- Provide pragmatic, commercially driven legal guidance to senior stakeholders
- Support ongoing portfolio activity, including restructuring and strategic initiatives
Candidate Profile:
- Qualified lawyer with significant post-qualification experience (typically 10+ years)
- Strong background in M&A, ideally within infrastructure, energy, or private equity
- Experience working in-house or advising investment platforms or sponsors
- Ability to operate independently in a fast-paced, deal-driven environment
- Strong commercial acumen and stakeholder management skills
